Overview

1.1 / Project-Based Productions

We provide project-based audiovisual productions with clearly defined scope, deliverables, and usage rights. Each project is quoted individually based on complexity, production requirements, post-production scope, and distribution needs. Project timelines, deliverables, revision rounds, and usage rights are defined in a written agreement prior to commencement. Final payment is required before delivery of master files and transfer of usage rights.

1.2 / Ongoing Collaborations

For clients requiring continuous audiovisual support, we offer structured collaboration agreements with pre-allocated production or post-production hours. Terms regarding minimum commitment, scheduling priority, and billing cycles will be specified in each agreement.

Services Terms

2.1 / Project Terms

A signed agreement is required before work begins. A 50% deposit is required to secure production dates and initiate pre-production. The project timeline begins once the deposit and all required materials have been received. Additional revisions beyond the agreed scope, scope changes, or additional deliverables will be quoted separately. Rush productions may incur additional fees depending on scheduling and resource availability.

2.2 / Production Conditions

All filming — including aerial and drone operations — is subject to: • Weather conditions • Airspace regulations • Location permits • Safety assessments If filming conditions are deemed unsafe or legally restricted, Tenku Studio reserves the right to reschedule production without penalty.

Scope of Work

3.1 / Included Services

Depending on the agreement, services may include: • Concept development • Pre-production planning • Cinematic filming (ground & aerial) • FPV sequences • Post-production editing • Color grading • Sound design • Visual effects integration • Platform-adapted deliverables

3.2 / Excluded Services

Unless explicitly included in writing, the following are not part of standard scope: • Actor casting or talent fees • Location rental costs • Music licensing fees beyond agreed libraries • Paid advertising media spend • 3D asset creation beyond basic motion graphics • Source project files (unless specified)

Client Responsibilities

4.1 / Required Materials

Clients must provide: • Clear project brief and objectives • Brand guidelines (if applicable) • All required content, messaging and approvals • Timely feedback within agreed timeframes Delays in client response may result in adjusted delivery timelines.

4.2 / Communication

A single point of contact is required per project. Feedback must be consolidated and clearly communicated to ensure workflow efficiency.

Intellectual Property & Usage Rights

5.1 / Ownership

Upon full payment, clients receive usage rights as defined in the signed agreement. Tenku Studio retains ownership of: • Project files • Raw footage • Editing timelines • Proprietary workflows • Visual methodologies Usage rights apply only to the formats, territories, platforms, and duration specified in the agreement.

5.2 / Portfolio Rights

Tenku Studio reserves the right to display completed work in its portfolio and promotional materials unless a signed NDA states otherwise.

Revisions & Scope Changes

6.1 / Project Revisions

The number of revision rounds is defined in the project agreement. Minor editorial adjustments are included within scope. Significant creative direction changes constitute scope changes and will be quoted accordingly. All scope changes require written approval.

Payment Terms

7.1 / Project Payments

Projects follow a structured three-stage payment schedule: • 50% deposit upon agreement signing to secure production dates and initiate pre-production. • 25% payment upon delivery of the first full draft (initial cut or agreed milestone). • 25% final payment prior to delivery of final master files and transfer of usage rights. All invoices operate under Net 15 terms unless otherwise specified in writing. Final deliverables, master files, and usage rights are released only upon full settlement of all outstanding invoices. Late payments may result in project suspension and may incur interest charges as permitted by applicable law.

7.2 / Project Pause & Delays

If a project is paused by the client for more than 30 calendar days, Tenku Studio reserves the right to issue an invoice for work completed up to that date, including pre-production, production, and post-production stages. Resumption of the project will be subject to scheduling availability and may require timeline adjustments. Any additional costs arising from prolonged pauses — including storage, reactivation, or rescheduling fees — may be billed separately.

Cancellation & Rescheduling

8.1 / Client Cancellation

Cancellation fees depend on production stage: • Pre-production stage: deposit retained • During production: up to 75% of total fee • Post-production stage: 100% of fee

8.2 / Weather & Force Rescheduling

Rescheduling due to weather or regulatory limitations will be handled in good faith. Additional costs caused by rescheduling may apply.

Confidentiality

Both parties agree to maintain confidentiality of proprietary information. Confidentiality obligations survive termination of the agreement.

Liability & Insurance

10.1 / Limitation of Liability

Liability is limited to the total fees paid for the specific project. Tenku Studio does not guarantee specific business results.

10.2 / Insurance

We maintain professional liability and general liability coverage. Certificates available upon request.

Force Majeure

Neither party is liable for delays caused by circumstances beyond reasonable control, including natural disasters, government restrictions, or regulatory limitations.

Governing Law

These terms are governed by the laws of Spain. Jurisdiction: Málaga, Spain.

Modifications

These terms may be updated with notice. Project-specific agreements supersede general terms.

Entire Agreement

These Terms of Service, together with any signed project agreement, constitute the full agreement between parties.
